Public Offer Agreement
Effective date: March 1, 2026
1. General Provisions
This document constitutes an official offer (public offer) by Individual Entrepreneur Shidlovsky Nikita Ivanovich (TIN: 324509043051, PSRNIE: 324509043051) (hereinafter — the "Contractor"), operating under the Codeboom trademark, to provide services in software development, design and support of digital products (hereinafter — "Services").
Acceptance of the offer is considered to be payment of the Contractor's invoice or signing a contract, including in electronic form.
2. Subject of the Offer
The Contractor provides the Client with services for development, design, testing and support of digital products, including but not limited to: websites, mobile applications, CRM systems, client portals, AI integrations.
The specific list and cost of services are determined in the technical specification or commercial proposal, which is an integral part of this agreement.
Work completion timelines are agreed upon by the parties and documented in the technical specification.
3. Payment Terms
Payment for services is made in Russian rubles via bank transfer to the Contractor's settlement account or by bank card via internet acquiring. The Contractor applies the simplified taxation system (STS), VAT is not charged.
Standard payment scheme: 50% prepayment, 50% upon completion. Other payment terms may be agreed upon individually.
An invoice is valid for 5 (five) business days from the date of issue.
4. Rights and Obligations
The Contractor undertakes to perform work with quality and within agreed timelines. The Client undertakes to provide necessary materials and information, and to timely accept and pay for work.
The Contractor may engage subcontractors for certain stages of work while remaining responsible to the Client for the quality of results.
5. Intellectual Property
Exclusive rights to work results transfer to the Client upon full payment, unless otherwise stipulated in the contract.
The Contractor retains the right to use anonymized work results in portfolio and marketing materials unless the Client has submitted a written refusal.
6. Liability
The parties bear responsibility for non-performance or improper performance of obligations in accordance with the current legislation of the Russian Federation.
The Contractor's total liability is limited to the amount paid by the Client for services under the respective project.
7. Final Provisions
